FixRight — Plumber Platform / Independent Contractor Agreement

Service area: Cities/regions Plumber elects on the platform (multi-city / multi-state allowed)
Intake: FixRight accepts customer requests 24/7. Plumber sets availability (24/7 or custom hours) and may opt into overnight / emergency jobs. When preferred start is 6:00 PM–5:59 AM, customer pays after-hours premium $150 ($120 to Plumber · $30 to FixRight). Referral remains 15% of labor only — You keep 85% of labor; the $120 premium is in addition and not reduced by the 15%.
This Agreement sets the terms under which FixRight may refer and dispatch service requests to Plumber. Option A model: Plumber is the contractor of record for all plumbing work; FixRight is a referral/dispatch platform, not the construction contractor.
1. Nature of relationship — independent contractor
- Plumber is an independent contractor, not an employee, partner, joint venturer, or agent of FixRight for employment-law purposes.
- Plumber controls means and methods of performing plumbing work, supplies tools/vehicle, and may accept or decline jobs (subject to reasonable acceptance standards and removal for chronic decline of suitable jobs).
- Plumber is solely responsible for taxes, withholdings, workers’ compensation (as required by law), and business expenses.
- Nothing in this Agreement authorizes Plumber to bind FixRight to construction contracts, warranties of construction, or employment obligations.
2. Option A — contractor of record and pricing
- Contractor of record. For each job referred through FixRight, the contract for plumbing construction/repair work is between Plumber and the customer (homeowner, property manager, HOA, or STR host). Plumber’s Nevada license number must appear on every job confirmation and receipt.
- Pricing. Plumber sets and quotes the job price from the Rate Card attached as Exhibit A (
06-RATE-CARD-EXHIBIT.md). FixRight may communicate the applicable price band to the customer; FixRight does not set the price as the contractor. - Out-of-band work. If the job is outside the quoted band, Plumber stops work until the customer approves a new band in writing (text/email acceptable if clearly documented).
- Advertising. Plumber acknowledges FixRight markets as connecting customers with licensed plumbers and will not require FixRight to represent that FixRight itself performs plumbing.
3. License, insurance, and compliance representations
Plumber represents and warrants continuously during the term:
- Plumber holds a valid Nevada State Contractors Board license appropriate for the work referred, in good standing, and will notify FixRight within 24 hours of any suspension, revocation, probation, or license change.
- Plumber maintains commercial general liability (and any other coverage required by law or FixRight’s then-current vetting checklist) with FixRight named as certificate holder (not as additional insured unless counsel later requires). COI must be current; expired COI = automatic suspension from the bench.
- Plumber will obtain permits when required and comply with NSCB, local codes, and applicable law.
- Plumber will not perform work outside license classification.
- Upon request, Plumber will provide license printout, COI, W-9, and business formation docs.
4. Referrals, job cards, and acceptance
- FixRight may send job cards including: address, access notes, issue description, photos (if any), urgency, rate band, and customer contact as needed for performance.
- Plumber should accept or decline promptly (target: within 15 minutes when online / within stated availability, when practicable).
- Acceptance creates Plumber’s obligation to perform for that customer under Plumber’s own contract/terms consistent with this Agreement and the Rate Card.
- FixRight does not guarantee job volume.
5. Referral fee
- Standard referral fee: 15% of job value for each completed FixRight-referred job.
- Volume rate: 12% for Plumbers who complete 40+ FixRight jobs in a calendar month (applies to that month’s completed jobs, unless Exhibit A is updated).
- Job value means the amount charged to the customer for the referred job (labor + parts included in the quoted band or approved change), excluding sales tax if itemized separately, unless counsel specifies otherwise.
- Payment path (preferred): Stripe Connect — customer payment settles to Plumber; FixRight’s referral fee is deducted automatically.
- Alternate: FixRight invoices Plumber monthly for referral fees; net 15 days.
- Fees are earned on completed jobs (customer sign-off or equivalent completion event). Chargebacks/refunds: fee adjusted proportionally.
6. Photos, verification, and customer experience standards
- Plumber will submit before and after photos through the channel FixRight designates, and obtain customer sign-off when requested.
- Plumber will use best efforts to arrive within the stated arrival window and to stay within the quoted band or pause for written approval.
- Plumber will behave professionally and will not spam, harass, or upsell deceptively.
- Ratings used by FixRight for bench management focus on: arrived in window; stayed in band or paused; callback rate — not popularity contests.
7. Workmanship warranty and callbacks
- Plumber warrants workmanship to the customer as required by law and customary trade practice (and any longer period Plumber offers).
- For covered workmanship callbacks within 30 days of completion (see Exhibit B — Guarantee and Callback), Plumber will return at no labor charge for the covered rework, or coordinate with FixRight so another bench plumber can complete the callback.
- FixRight’s published “guarantee” is a dispatch / service-standard commitment by FixRight (dispatch support, waive FixRight dispatch fee where applicable, remove non-honoring plumbers, optional goodwill from FixRight’s fee). It is not a FixRight construction warranty.
- Failure to honor workmanship obligations is grounds for immediate suspension/removal.
8. Non-solicitation (soft)
- During the term and for six (6) months after, Plumber will not knowingly solicit FixRight property-manager / HOA account relationships that Plumber first encountered solely through FixRight for the purpose of diverting those accounts’ FixRight-referred plumbing volume off-platform.
- This does not restrict: (a) customers who independently find Plumber; (b) Plumber’s pre-existing customers; (c) general advertising; or (d) accepting work from a customer who initiates contact without Plumber’s targeted solicitation of that FixRight account.
- Counsel to confirm enforceability and narrow as needed under Nevada law.
9. Confidentiality and data
- Plumber will protect customer PII, access codes, and photos, and use them only to perform referred jobs.
- Plumber will not sell or misuse FixRight job-card data.
10. Term and termination
- Term begins on the Effective Date and continues until terminated.
- Either party may terminate for convenience on 14 days’ written notice.
- FixRight may suspend or terminate immediately for: license/insurance lapse; safety or fraud concerns; failure to honor callbacks; material breach; or reputational risk reasonably related to Plumber’s performance.
- On termination, Plumber remains responsible for in-progress jobs and covered callbacks for jobs completed during the term. Accrued referral fees remain payable.
11. Indemnity and limitation
- Plumber will indemnify and hold harmless FixRight and its officers/agents from claims arising out of Plumber’s work, negligence, license status, or breach — except to the extent caused by FixRight’s gross negligence or willful misconduct.
- FixRight is not liable for Plumber’s workmanship, delays caused by Plumber, or property damage arising from plumbing performance.
- Caps/exclusions: counsel to insert customary limitations consistent with Nevada law.
12. Miscellaneous
- Governing law / venue: State of Nevada; exclusive venue in state courts located in Clark County, Nevada, unless counsel prefers arbitration.
- Entire agreement; amendments in writing; severability; counterparts / electronic signatures OK.
- Exhibits incorporated: Exhibit A — Rate Card; Exhibit B — Guarantee and Callback.

After-hours / overnight requests
- Window: Any request whose preferred start is 6:00 PM through 5:59 AM local time is an after-hours / emergency request.
- Customer premium: Flat $150 platform-wide, stated before the customer accepts, charged on top of the pro’s price band.
- Split of the $150: $120 to the pro who accepts and performs the job (extra pay for after-hours); $30 to FixRight for after-hours coordination / dispatch.
- Labor: Unchanged — pro sets the price band; FixRight’s referral fee is 15% of labor only; pro keeps 85% of labor. The $120 premium is paid in addition to the labor payout and is not reduced by the 15%.
- Intake: FixRight accepts requests 24/7. Pros set personal availability; overnight jobs carry the $150 premium when the preferred window is after 6:00 PM.
